1. Bilingual, Chinese controls. If the agreement is English-only, a Chinese court may not enforce it against a Chinese company. The Chinese version must be the controlling language. This is not negotiable.
2. Liquidated damages, not just injunctions. Specify RMB 500,000-2,000,000 in liquidated damages per violation. For an LED product: Factory A gets the aluminum housing drawings but never sees the PCB schematic. Factory B receives the driver specs and PCB layout but doesn't know the enclosure dimensions.
